TaxKeel Pro Terms of Service

"BrainFeed", "we", "us" and "our" mean BrainFeed Solutions, a business based in Ahmedabad, India, which makes TaxKeel and TaxKeel Pro. Freemius sells TaxKeel Pro to you as merchant of record, and we provide the licence, updates and support. "You" means the person or organisation that starts a trial of, buys, or uses TaxKeel Pro.

These terms apply to TaxKeel Pro only. The free TaxKeel plugin is free software; you can use it without accepting these terms. Your use of brainfeedsolutions.com is covered by our website terms.

If you accept these terms for an organisation, you confirm you're allowed to bind that organisation to them.

TaxKeel Pro is sold through Freemius, which acts as merchant of record. That means Freemius takes your payment, issues your invoices or receipts, and charges and pays any VAT, GST or sales tax due on your purchase. Freemius's own terms apply to the purchase itself, and you'll see them at checkout.

Prices are shown in US dollars before any tax Freemius adds for your location. The price you pay is the one shown at checkout.

A site counts towards your limit while TaxKeel Pro is activated on it. You can deactivate Pro on one site and activate it on another at any time.

TaxKeel Pro's code is licensed under the GNU General Public License, version 2 or later, like WordPress itself. What your plan pays for is a licence key that turns Pro's features on, updates, and priority support for the sites in your plan while your licence is active.

You can try any plan free for 14 days, with all features of that plan. You don't need to give a card to start a trial, and a trial never turns into a paid plan on its own. Freemius may limit trials to one per person per plan. If you don't buy a plan before the trial ends, Pro features stop, the free plugin keeps working, and you aren't charged anything.

Your plan renews automatically every year on the date you bought it. Freemius charges the renewal to the payment method you used, at the renewal price shown in your Freemius account, unless you cancel before the renewal date. If you bought at a launch or discount price, renewals are at the regular price unless the offer said otherwise.

You can cancel automatic renewal at any time from the Account page for TaxKeel Pro in your WordPress admin, from your Freemius account, or by emailing us. Cancelling stops the next renewal; your licence keeps working until the end of the year you've already paid for.

If we change the price of a plan, the new price applies from your next renewal, and we'll tell you before that renewal is charged.

If you're not happy with TaxKeel Pro, ask for a refund within 14 days of any payment, including a renewal, and we'll refund that payment in full, no questions asked. You don't need to give a reason. Email us or use your Freemius account. Once a payment is refunded, the licence it paid for ends.

This doesn't limit any refund rights you have under the consumer law where you live.

If your licence ends - because a trial finished, you cancelled, a renewal payment failed and wasn't fixed, or a payment was refunded - then on your sites:

• Pro features stop. The Pro tabs are hidden, the US nexus figures stop updating, and scheduled rate changes and agency reports pause.
• The free TaxKeel plugin keeps working as normal.
• Nothing is deleted. Your Pro settings and results stay in your WordPress database, and everything picks up again if you renew.
• Changes Pro has already made to your WooCommerce tax settings stay as they are.

TaxKeel Pro checks and manages your WooCommerce tax setup against published rates and common configuration mistakes. It isn't tax advice, and it can't tell you what you owe, where you must register, or how to file.

• The past-order audit compares the tax on your orders with the published rate TaxKeel has for each place. It's a check on your setup, not an assessment of what you owe.
• The US economic nexus tracker adds up the sales and orders in your WooCommerce store against each state's published threshold. It doesn't see sales you make anywhere else, and each state decides for itself when you must register.
• Scheduled rate changes apply the rate changes known to TaxKeel at the time. Rates can change at short notice, and TaxKeel's data may not include every change.

You stay responsible for the tax you charge, collect and report. For decisions about your tax obligations, check with a tax professional.

• Keep backups of your site. Pro saves a snapshot before it changes tax settings, so most changes can be undone, but it isn't a backup of your store.
• Review what Pro shows you before you apply bulk changes, scheduled rate changes or fixes.
• Only send webhook alerts to a URL you control, and only add email recipients who have agreed to receive TaxKeel alerts and reports.
• Use TaxKeel Pro only on sites you own or are authorised to manage, and don't share your licence key beyond the sites in your plan.

While your licence is active, you get priority email support. We aim to reply within 2 business days. Support covers installing, setting up and using TaxKeel and TaxKeel Pro. It doesn't cover tax advice or general WooCommerce development work.

You also get updates to TaxKeel Pro, including its US nexus threshold data, for as long as your licence is active. Tax rate data comes with the free TaxKeel plugin and keeps updating whether or not you have Pro. We may add, change or remove features over time.

We work hard to make TaxKeel Pro accurate and reliable, but it's provided "as is". To the fullest extent the law allows, we don't promise that it will be error-free, that its rate data will be complete or current, or that it will find every problem in your tax setup, and we disclaim all implied warranties, including merchantability and fitness for a particular purpose.

To the fullest extent the law allows:

• We aren't liable for indirect or consequential losses, or for lost profits, revenue or data, arising from TaxKeel Pro.
• We aren't liable for tax, interest or penalties you owe, including where TaxKeel Pro's checks, rates or figures were wrong or incomplete.
• Our total liability for all claims relating to TaxKeel Pro is limited to the greater of the fees you paid for TaxKeel Pro in the 12 months before the claim arose, or USD 100.

Nothing in these terms limits liability that can't be limited by law, or your rights under the consumer law where you live.

We may end a licence if it's used in serious breach of these terms, for example by sharing a licence key well beyond your plan, or using TaxKeel Pro unlawfully. Where it's reasonable, we'll ask you to fix the problem first. If we end a licence without you being in breach, we'll refund the unused part of your year.

We may update these terms. The date at the top shows when they last changed. If a change materially affects your plan, we'll tell you by email before it takes effect, and it applies from your next renewal.

If you have a problem with TaxKeel Pro, email us first and we'll try to put it right. These terms are governed by the laws of India, and the courts of Ahmedabad, Gujarat, India have jurisdiction over any dispute that can't be resolved directly. We'll try to resolve a complaint within 30 days of hearing from you. If you're a consumer, you keep any right to bring a claim in the courts where you live.
